Terms of Service

Terms governing access to and use of BellNova services

Last Updated:August 3, 2026
Effective Date:August 3, 2026

1. Agreement and Eligibility

These Terms of Service ("Terms") govern access to and use of BellNova websites, dashboards, applications, integrations, automation tools, skills, and related support services (collectively, the "Services"). By creating an account, signing an order form, connecting a platform account, or using the Services, the customer and each authorized user agree to these Terms.

You must be legally capable of entering into a binding agreement and must use the Services only for a legitimate business. If you use the Services for an organization, you represent that you have authority to bind that organization. The Services are not intended for children or personal consumer use.

If a signed order form, statement of work, data processing agreement, or other written agreement with BellNova conflicts with these Terms, the signed agreement controls for that conflict.

2. BellNova Services

BellNova provides tools for commerce operations, advertising management, creator collaboration, reporting, analytics, synchronization, recommendations, and customer-configured automation. Features vary by plan, marketplace, platform approval, geography, and the permissions granted by the customer.

BellNova may modify or discontinue features to respond to platform changes, security risks, law, or operational needs. We will provide reasonable notice of a material reduction in paid functionality where practicable. Third-party platforms may change, restrict, suspend, or discontinue APIs without BellNova's control.

3. Accounts and Authorized Users

Customers must provide accurate account information, designate authorized users, keep contact and billing information current, and promptly remove access that is no longer required. Each person must use a unique account and protect authentication credentials.

Customers are responsible for activity under their accounts, including actions configured by authorized users. Notify BellNova promptly at marketing@bellnova.com if you suspect unauthorized access, credential exposure, or misuse.

4. Third-Party Platforms and Authorization

Some Services require authorization to access TikTok, Amazon, Google, Shopify, or another third-party platform. The customer represents that it owns or is authorized to administer every connected account and authorizes BellNova to access and process platform information only to provide the selected Services.

Customers must comply with all terms, policies, permissions, advertising rules, commerce rules, and laws applicable to each connected platform. BellNova is not TikTok, Amazon, Google, or Shopify and does not claim endorsement by those platforms. Platform names and marks belong to their respective owners.

Customers may revoke platform authorization through the relevant platform. Revocation may make some Services unavailable and does not relieve the customer of payment or other obligations accrued before revocation.

5. Acceptable Use

Customers and authorized users must not:

  • access data or accounts without authority or request permissions unnecessary for the selected feature;
  • share platform passwords, access keys, or another person's BellNova credentials;
  • circumvent platform restrictions, API limits, authorization controls, or security measures;
  • use the Services for fraud, spam, unlawful surveillance, deceptive practices, fake engagement, review manipulation, intellectual property infringement, or illegal goods or services;
  • upload malware or attempt to probe, scan, disrupt, reverse engineer, or gain unauthorized access to the Services;
  • use platform data for marketing, profiling, aggregation, resale, disclosure, or another purpose prohibited by the platform that supplied it;
  • disclose one business's non-public information to another business without authority;
  • attempt to obtain, upload, or process Amazon customer PII or restricted SP-API data through BellNova, because BellNova does not request Amazon Restricted Roles or support restricted-data processing;
  • remove creator attribution or copyright protections without permission; or
  • use the Services in a way that violates privacy, data protection, advertising, consumer protection, export control, sanctions, or other applicable law.

BellNova may investigate suspected misuse and restrict or suspend access when reasonably necessary to protect users, platforms, BellNova, or third parties.

6. Customer Data and Instructions

As between BellNova and the customer, the customer retains its rights in information, content, and materials it provides or authorizes BellNova to access ("Customer Data"). The customer grants BellNova a limited, non-exclusive right to host, process, transmit, and display Customer Data only as necessary to provide, secure, support, and comply with law in connection with the Services.

The customer is responsible for the legality, accuracy, quality, and source of Customer Data; providing required privacy notices; obtaining required permissions and consents; establishing a lawful basis for processing; and responding to individuals whose information it controls.

BellNova will process Customer Data under the Privacy Policy and applicable platform addenda. BellNova may use aggregated or de-identified service information to maintain and improve the Services where the information cannot reasonably identify a customer, account, or individual and platform rules permit that use.

7. Campaigns, Recommendations, and Automated Actions

Analytics, forecasts, classifications, recommendations, and generated plans are decision-support tools. Results may be incomplete, delayed, or affected by platform data quality, attribution windows, API availability, or changing market conditions. Customers must review outputs before relying on them for material business decisions.

Some features perform synchronization, monitoring, bidding, campaign, or other actions after an authorized user enables and configures them. The customer is responsible for reviewing settings, budgets, audiences, creative materials, legal disclosures, and results. BellNova does not guarantee sales, revenue, advertising performance, creator participation, or marketplace ranking.

Where a feature offers DRY_RUN and LIVE modes, users should review the dry run before approving a live action. A live action must satisfy the product's stated approval controls.

8. Fees and Payment

Fees, billing frequency, usage limits, taxes, and the initial subscription term are specified in the applicable order form, subscription page, or other written commercial agreement. Unless that agreement states otherwise, a paid subscription automatically renews for successive periods equal to its current subscription term until canceled.

Customers may cancel a renewal before the next renewal date by using an available account control or contacting marketing@bellnova.com. Cancellation takes effect at the end of the current paid subscription period, and BellNova will not charge the next renewal after a timely cancellation.

Full or partial refunds may be available when stated in the applicable order form or subscription page, required by law, or approved by BellNova after a material failure to provide a paid Service. Cancellation by itself does not automatically create a right to a refund for the current subscription period. BellNova will disclose any additional refund conditions before purchase.

BellNova may suspend paid features for overdue undisputed amounts after reasonable notice. Customers are responsible for taxes other than taxes imposed on BellNova's net income.

9. Intellectual Property and Feedback

BellNova and its licensors retain all rights in the Services, software, workflows, documentation, designs, and technology, excluding Customer Data. Subject to these Terms and payment of applicable fees, BellNova grants the customer a limited, non-exclusive, non-transferable, revocable right for its authorized users to use the Services during the subscription term for internal business purposes.

If a customer provides suggestions or feedback, BellNova may use it without restriction or compensation, provided BellNova does not identify the customer publicly without permission.

10. Confidentiality

Each party may receive non-public information that is identified as confidential or reasonably should be understood to be confidential. The receiving party will use it only to perform or receive the Services, protect it using reasonable safeguards, and disclose it only to personnel and providers who need to know and are bound by confidentiality obligations.

Confidentiality obligations do not apply to information that the receiving party can demonstrate was lawfully known without restriction, becomes public without breach, is received lawfully from another source, or is independently developed. A required legal disclosure is permitted after notice where legally allowed.

11. Security and Compliance

BellNova maintains safeguards described in the Privacy Policy. Customers must configure access appropriately, use supported authorization methods, protect exported data, and maintain security appropriate to their own systems.

Each party will comply with applicable privacy and data protection law for the information it controls. If the parties execute a data processing agreement, that agreement governs BellNova's processing as a processor or service provider.

12. Suspension and Termination

Either party may terminate as provided in an applicable order form. A party may terminate for a material breach that is not cured within the notice period stated in the order form or, if none is stated, within 30 days after written notice.

BellNova may immediately suspend access where reasonably necessary to address a security incident, unlawful conduct, platform instruction, loss of required platform authorization, material threat to the Services, or a serious violation of Section 5. BellNova will limit the suspension and provide notice where legally and operationally practicable.

After termination, the customer's right to use the Services ends. BellNova will handle Customer Data under the Privacy Policy, platform-specific retention rules, and any signed agreement. Provisions that by their nature should survive—including payment, confidentiality, intellectual property, disclaimers, liability, and dispute terms—will survive.

13. Disclaimers

To the maximum extent permitted by law, the Services are provided "as is" and "as available." BellNova disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.

BellNova is not responsible for third-party platform downtime, policy decisions, account enforcement, API changes, data inaccuracies supplied by a third party, or actions taken by a customer or its authorized users. Nothing in these Terms excludes a warranty or right that cannot legally be excluded.

14. Limitation of Liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, revenue, goodwill, or data, arising from these Terms or the Services, even if advised of the possibility.

Unless an order form states otherwise, each party's aggregate liability arising from the Services will not exceed the fees paid or payable by the customer for the affected Services during the 12 months before the event giving rise to liability. These limitations do not apply where prohibited by law or to liability that cannot legally be limited.

15. Indemnification

The customer will defend and indemnify BellNova against third-party claims arising from Customer Data, the customer's products or campaigns, an unauthorized or unlawful use of a connected account, or the customer's material violation of Section 4 or Section 5, except to the extent caused by BellNova's breach of these Terms.

The indemnified party must provide prompt notice, reasonable cooperation, and control of the defense to the indemnifying party, subject to the indemnified party's right to participate with its own counsel. No settlement may admit fault or impose a non-monetary obligation on the indemnified party without consent.

16. Governing Terms and Disputes

The governing law, courts, and dispute procedure stated in the applicable order form or signed agreement apply. If no such provision exists, the parties will first attempt in good faith to resolve a dispute through business representatives before commencing formal proceedings in a court with lawful jurisdiction.

Nothing in this section prevents either party from seeking urgent injunctive relief, reporting a matter to a regulator or platform, or exercising rights that cannot be waived under applicable law.

17. Changes to These Terms

BellNova may update these Terms to reflect changes to the Services, law, security, or platform requirements. The revised Terms will be posted with an updated date. BellNova will provide reasonable additional notice of a materially adverse change where required. Changes do not retroactively reduce rights already accrued.
